Thanks! I missed that article, interesting read. (Thanks for posting @Dx Revision Watch , sorry I missed it.)
And indeed.
It would have been a different situation for me if the AoA 2014 doc up at the ME Association website had been in content the same as the 2013-named doc that is now claimed...
I don't see any reason to assume that - so far I've seen no indication that section (a) of the 2013 AoA was not scrapped on purpose.
Additionally, the former section (b) became the new section (a) (No copy-paste mishap). Also, Article 4 was changed to match.
It looks like a normal Article...
That's what I had assumed based on a quick comparison between AoA07 and AoA13 and the declaration and special resolution text accompanying the AoA13 registration at Companies House.
But this report puzzles me - it indicates that members only voted on those two Articles, not the whole governing...
I personally do the sleuthing and puzzling on how the claims of the ME Association on the AoA's match the records because I'm me (I can't resist digging through documentation when I'm curious about what actually happened), and because the bombastic statement with the legal threats didn't match...
I think it's important not to lose sight of the main issue here: that the payments to trustees were not allowed according to the Articles of Association in public and official use at the time.
(Wheter those Articles of Association were the "real" ones is a defense and secondary issue.)
The...
A clue that the version of Article 28 from the defunct AoA-Nov 13 in CH archives, which section (a) MEAss now claims is current & from AoANov2014, probably pre-dates 2013. (Because present in CH registration of this AoA, but not changed at the EGM.)
O, hello there, Summaries of our AGM, EGM and Board of Trustees meetings + Ramsay Research Fund update | November 2013 - The ME Association
(I can't dive into it, but the Articles up for vote on 19 November 2013. Thought you might like to puzzle on these. The AoA of 2007's Articles on income...
I was willing to give them some space to clear it, but with the third different version of "what actually happened was..." without any solid substantiation.
The MEAss is making it muddy, but I think the issue is still actually pretty straightforward.
The AoA that is officially registered as their current edition, superceding one from a year earlier, and which was up on their own website until a couple of days ago, does not allow these payments.
It...
I can't do it myself (too sick and non-UK resident), but I hope people will write to the Charity Commission to request info.
Because following AoA-Nov13 and AoA-Nov14, Articles in an AoA that are about direction or restriction of money use (like Article 28) can only be changed with the Charity...
Regarding the reply to Lucibee:
This is now the third response to Peter White's questions, and they don't match among eachother and with the available info.
Response 1 (at the meeting) was: focus on article 28 and the word "other". (Image from thread by Nicky proctor, see links in post...
I'm too sick to do a full comparison (this stupid shit is making me crash, it keeps running in my mind though).
It would be interesting, but in essence it doesn't matter. This is a procedural issue imo.
MEAss now have to prove that the suddenly presented mystery doc with the date of 2013 in...
The payments for 2022 and 2023 to David Allen and Martine Ainsworth-Wells totalled nearly 70,000 pounds.
(See notes to the financial statements for 2022 and 2023 available at Companies House.)
Peter White also asked about payments to Richard Osman, who I understand was trustee until 2023.
Indeed.
Also, not an omission but an amendment the association members voted on and approved. (Even if it would have been just the one change I expect it to be legally binding b/c of that.)
From the Nov14 AoA, Alteration of the articles.
They can only be changed by special resolution passed at a member meeting, and those regarding direction or restriction of money use (like Article 28) can only be changed with the Charity Commission's prior written approval.
I can't see into his head, so what he truly means is a mystery.
To me it appears like he either did some creative explaining so he [edited to add: and the other trustees]would not have to face the fact that he messed up when allowing big payments to director's companies in 2023 (and 2022 I...
Yes, I'd say so too.
If dutch law corresponds to the UK ones (and it seems to), they need to adhere to the fact that they are a charity AND an association. (So e.g. not a foundation.)
So it seems likely that one who is absolutely making the final decision on such changes are the members.
And...
